EXTRAORDINARY SHAREHOLDERS’ MEETING 1ST OF 2023

On behalf of the Shareholder Qualification Inspection Committee, Mr. Ho Minh Chau, the Head of the Committee, read the Report on the Qualification of Shareholders attending the meeting prior to the opening session and presented it to the shareholders for approval.
After the report on the results of the inspection of the shareholders' qualifications attending the Meeting, the introduction and election of the Chairman of the Meeting, the Secretary, and the Vote Inspection Committee, the extraordinary shareholders' meeting of DCF 2023 proceeded to approve the Meeting Agenda and the Working Regulations.

The Meeting discussed and passed resolutions on the dismissal of members of the Board of Directors/Supervisory Board; the list of candidates for the Board of Directors/Supervisory Board for the term 2019 - 2024; the rules for the supplementary election of members of the Board of Directors/Supervisory Board for the term 2019 - 2024.
The resolution of the extraordinary shareholders' meeting of DCF 2023 on July 14th, 2023, decided:

+ To approve the dismissal of Mr. Nguyen Ba Tho, the Vice Chairman of the Board of Directors.
+ To approve the election of Mr. Chu Quang Huan as a member of the Board of Directors for the term 2019 - 2024, effective from July 14th, 2023.
+ To approve the dismissal of Ms. Nguyen Thi Thuy Linh, a member of the Supervisory Board.
+ To approve the election of Mr. Nguyen Ba Tho as a member of the Supervisory Board for the term 2019 - 2024, effective from July 14th, 2023.

In addition, the Meeting approved the content of the agenda regarding transactions between the company and related parties, as well as the transfer of investment shares in Decofi Steel Structure Joint Stock Company.
After half a day of diligent, serious, and responsible work, the 1st extraordinary shareholders' meeting of 2023 of Construction and Design Corporation No.1 successfully concluded.
